Following the adoption of the euro as the official currency in the Republic of Bulgaria, the Act on the adoption of the euro in the republic of Bulgaria was promulgated in August 2024. The Law provides for certain obligations of commercial companies concerning their registered share capital.

Accordingly, commercial companies were required to redenominate their share capital by making the relevant amendments to their constitutional documents, articles of association and statutes.

The amended corporate documents were to be submitted to the Commercial Register together with the next application for the registration, deletion or announcement of any change, but no later than the end of 2026.

What do the new amendments introduce?

Issue No. 82 of the State Gazette, dated 8 September 2026, published amendments and supplements to the Act on the adoption of the euro in the republic of Bulgaria, extending the deadline for the announcement of corporate documents reflecting redenominated share capital until the end of 2028. The representatives of commercial companies are required to announce such documents before that deadline only together with applications in cases where the documents are required to be submitted.

The process of redenominating share capital and updating corporate documents requires careful preparation in order to avoid unjustified delays and/or refusals by the Commercial Register.
