The Law provides for certain obligations of commercial companies concerning their registered share capital.<\/p><p style=\"text-align: justify\">Accordingly, commercial companies were required to <strong>redenominate their share capital<\/strong> by making the relevant amendments to their constitutional documents, articles of association and statutes.<\/p><p style=\"text-align: justify\">The amended corporate documents were to be submitted to the <a href=\"https:\/\/www.registryagency.bg\/bg\/registri\/targovski-registar\/\" target=\"_blank\" rel=\"noopener\">Commercial Register<\/a> together with the next application for the registration, deletion or announcement of any change, but no later than the end of 2026.<\/p><p style=\"color: #9d1d20\"><strong>What do the new amendments introduce?<\/strong><\/p><p style=\"text-align: justify\"><a href=\"https:\/\/dv.parliament.bg\/DVWeb\/showMaterialDV.jsp?idMat=245785\" target=\"_blank\" rel=\"noopener\">Issue No. 82 of the State Gazette, dated 8 September 2026<\/a>, published amendments and supplements to the Act on the adoption of the euro in the republic of Bulgaria, <strong>extending the deadline for the announcement of corporate documents reflecting redenominated share capital until the end of 2028<\/strong>. The representatives of commercial companies are required to announce such documents before that deadline <strong>only together with applications in cases where the documents are required to be submitted<\/strong>.<\/p><p style=\"text-align: justify\"><em>The process of redenominating share capital and updating corporate documents requires careful preparation in order to avoid unjustified delays and\/or refusals by the Commercial Register.
